CNIT私有化进程加快，有156%的上升空间

CNIT特别委员会聘请财务顾问及法律顾问

中国深圳，2015年8月19日 -中国信息技术有限公司（“公司”或“CNIT”）（纳斯达克：CNIT），全球领先的提供平台、交易、数据等综合性管理方案的互联网集团，今日宣布其董事会为评估公司于2015年6月19日收到的一份非约束性私有化要约（“要约”）而设立的独立特别委员会（“特委会”），已聘请道衡（Duff & Phelps）和美国吉布森律师事务所（Gibson, Dunn & Crutcher LLP）分别担任特委会的财务顾问和法律顾问。

道衡与吉布森将协助特委会继续对私有化要约进行评估。董事会提醒公司股东及考虑交易公司证券的投资者，公司仍未对该要约作出任何决定。目前也没有任何的确定性确保公司最后将接受要约或同意完成该交易。除非相关法律规定，公司没有持续提供关于本项交易或其他任何交易讯息的责任。

2015年6月22日，CNIT发表新闻稿，表示公司收到非限制性私有化提议，买方由CNIT的CEO和董事长林江怀、董事兼CPO赵志强、高级副总裁孙俊平以及个人投资者蔡金铸四位成员组成。私有化要约价为4.43美元每股，相较当时公司股价有30%的溢价。

2015年7月1日，公司宣布成立特别委员会来评估这一份私有化邀约，特别委员会是由公司独立董事组成的，与收购发起人并不重合。

2015年8月19日，公司宣布聘请法律和金融顾问，协助独立委员会继续对私有化要约进行评估。

可以看到，从收到私有化要约以来，CNIT从成立特别委员会到雇佣法律和金融顾问，一直在努力对其进行评估，选择对公司和股东未来最好的选择。

而必须注意到的是，CNIT的私有化要约价为4.43美元，而公司目前股价只有1.73美元。也就是说，如果以目前价格持有股票，而私有化最终完成的话，有着156%的利润空间！

横向比较近期宣布收到私有化要约的20余支中概股，CNIT的套利空间远远高于其他股票(按照昨日收盘价算，奇虎QIHU有22%的套利空间，欢聚时代YY只有12.5%)。

同时，如果公司决定接受私有化提议，未来有登录中国资本市场的可能性。

因为其独特的概念以及较高的技术壁垒，再加上目前中国股市中此类有业务有技术的科技公司的稀缺性，这是一支在A股也会受到热捧的股票。

A股市场有一只传奇个股“暴风科技”，撤销了美股上市的申请，转到A股市场上市。从7.14的发行价，到最高327的股价，价值扩张了近4600%。

如果当初以IPO的价格买了1000股，只需要花费7140RMB，最高将获得近32万 RMB的利润。

目前CNIT的价值明显被低估了。

近期中概股的价格受到太多因素影响，包括中国股市再次开始大跌、中概股龙头阿里巴巴(BABA)财报令人失望、中国央行贬值人民币汇率……导致中概股泥沙俱下。
